1. Acceptance of These Terms

1.1. These Terms of Service ("Terms") form a binding agreement between 745 Transport (Pty) Ltd ("745 Transport," "745," "we," "us," or "our") and any person who registers for, accesses, or uses the 745 platform — the passenger app, driver app, marketing website at www.745.co.za, public tracking pages at 745.co.za/track/{code}, and related services (collectively, the "Platform") — whether as a passenger, a driver-partner, or any other user ("you" or "User").

1.2. By creating an account, tapping "I Agree," or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, and, where applicable, by the 745 Driver-Partner Agreement, the 745 Privacy Policy, and (if opted into) the 745 Shield Terms referenced in Section 10. If you do not agree, you must not use the Platform.

1.3. These Terms constitute an electronic agreement concluded in accordance with the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"). Your acceptance by electronic means — in-app acceptance, click-to-accept, or continued use following notice of updated Terms — is a valid and binding expression of consent under South African law.

2. Eligibility

2.1. To register as a passenger or driver-partner, you must: (a) be at least 18 years of age; (b) have legal capacity to contract under South African law; (c) hold a valid South African mobile number able to receive SMS/OTP communications; and (d) if registering as a driver-partner, satisfy the additional eligibility, licensing, and vetting requirements in the 745 Driver-Partner Agreement and the driver vetting and onboarding procedure.

2.2. You may hold only one active passenger account and one active driver-partner account at a time, each verified against your own identity. Creating or operating an account on behalf of, or using the credentials of, another person without 745 Transport's written consent is prohibited and grounds for immediate suspension under Section 8.

2.3. You are responsible for ensuring all registration information (name, contact details, and, for drivers, vehicle and licensing documentation) is accurate, current, and complete, and for promptly updating it if it changes.

3. Description of the Service

3.1. On-demand rides. A passenger may request a ride through the Platform. The gateway calculates a dynamic price for the trip based on factors that may include distance, estimated duration, time of day, and prevailing demand and driver availability. Once the passenger confirms and pays, the request is broadcast to online, available drivers in the relevant vehicle category, and the first driver to accept ("claim") the trip is allocated to it.

3.2. Live trip tracking. For the duration of an active trip, the assigned driver's real-time GPS location is relayed to the passenger's device over a live connection (WebSockets/Socket.IO), so the passenger can see the vehicle's approach and progress. This feed is available only to the passenger and driver on that trip, and to 745 Transport staff for support and safety purposes.

3.3. OTP-gated pickup. Before a trip may begin, the driver must enter a 4-digit one-time PIN ("OTP") generated for that booking and displayed only to the passenger. The passenger must not share this OTP with anyone other than the driver collecting them, and only once the driver has arrived and been visually confirmed. 745 Transport is not liable for loss arising from a passenger's disclosure of an OTP to a person who is not the assigned driver.

3.4. Scheduled rides and commuter bundles. A passenger may schedule a once-off ride, or a recurring weekday ride on a fixed route. Prepaid commuter bundles are available for a fixed origin-destination ("A↔B") pair, and auto-redeem against a qualifying request within approximately 2.5km of the bundle's registered corridor. Bundles run for a fixed term from purchase — 1 day, 7 days or 21 days, depending on the bundle bought — and unused rides lapse at the end of that term.

3.5. Public ride tracking. Every paid booking generates an 8-character tracking code ("trackCode"), valid 48 hours, accessible without login at 745.co.za/track/{code}. Anyone with the link can view sanitized, real-time status of that trip: the driver's first name and general status only — never the passenger's identity or other personal information. By booking, you consent to a trackCode being generated and to the limited information above being accessible to anyone holding the link for its 48-hour validity.

3.6. 745 Shield (optional, paid add-on). 745 Transport separately offers 745 Shield, an optional, paid panic/incident-response service, on the terms in Section 10. It is not included in any trip's base fare and must be separately opted into and paid for.

3.7. 745 Transport is a technology platform connecting passengers with independent driver-partners who provide transport using their own vehicles. Except where stated otherwise, 745 Transport does not operate a vehicle fleet or employ drivers, and each ride is a service provided directly by the driver-partner to the passenger.

4. Booking, Pricing, and Payment

4.1. Prices displayed at booking are dynamically calculated and may vary between requests, including for the same route at different times, based on factors such as demand, traffic, and driver availability. The price shown at confirmation is the price charged, subject to Section 4.4.

4.2. Payment is processed through the payment method linked to your account — your in-app wallet balance, a linked card, or another supported method. Drivers are credited their earnings for a completed trip to their in-app wallet per the payout terms referenced in the driver-partner agreement.

4.3. Passenger wallet top-ups, once processed, are reflected in your account balance and may be applied to future bookings. Wallet top-ups are not refundable to a bank account; the balance remains available for future bookings. Contact support@745.co.za about any disputed top-up.

4.4. If the actual trip differs materially from the trip originally booked (e.g., a substantial passenger-requested detour or drop-off change), 745 Transport may adjust the final fare to reflect the trip actually completed, and will disclose any adjustment through the Platform.

4.5. 745 Transport is not a registered VAT vendor. No VAT is charged on fares, bundles or 745 Shield credits, and prices shown are the prices payable.

5. User Conduct — Passengers

5.1. When using the Platform, a passenger must: (a) provide accurate pickup and destination information; (b) be reasonably ready and available at the stated pickup location and time; (c) treat the driver, their vehicle, and other passengers with courtesy and respect; (d) not request that a driver exceed the vehicle's rated capacity, break traffic laws, or engage in unlawful conduct; (e) not use the Platform to harass, threaten, defraud, or endanger any driver or other person; and (f) keep account credentials and PIN confidential and not share their OTP other than as described in Section 3.3.

5.2. A passenger must not attempt to circumvent the Platform's booking, pricing, or payment mechanisms, including arranging an off-platform cash trip with a driver met through the Platform to avoid the fare or 745 Transport's service fee.

6. User Conduct — Driver-Partners

6.1. A driver-partner must: (a) hold and maintain all licenses and documentation required to lawfully operate as an e-hailing driver in South Africa, including a valid driver's license, valid Professional Driving Permit (PrDP), and current vehicle roadworthiness and insurance documentation; (b) keep their vehicle roadworthy, clean, and safe; (c) verify the correct OTP before commencing any trip; (d) drive safely and lawfully; (e) treat passengers with courtesy and not discriminate on any unlawful ground; and (f) not use the Platform while under the influence of alcohol or any impairing substance.

6.2. Full terms governing the driver-partner relationship — including the independent-contractor basis of engagement, vehicle and licensing requirements, and earnings settlement — are set out in the separate 745 Driver-Partner Agreement, which every driver-partner must accept in addition to these Terms.

7. Cancellations

7.1. A passenger may cancel a confirmed booking before a driver arrives. Cancellations within a short window of booking, or before a driver has been allocated, are free. A booking can be cancelled at no charge at any time before the trip is in transit.

7.2. 745 Transport does not currently charge a cancellation or no-show fee. A cancellation after a driver has been allocated, and a "no-show" where the passenger is not present when the driver arrives, are both free at present. Should that change, any such fee would be intended to compensate the driver-partner's time rather than to penalise you, would be disclosed in the app before it is charged, and these terms would be updated before it took effect.

7.3. A driver-partner who cancels an accepted trip without reasonable cause, or repeatedly cancels, may be subject to account review under Section 8. 745 Transport may also cancel a booking on a User's behalf, without charge to the affected party, for safety reasons, to correct a platform error, or as described in Section 8.

8. Suspension and Termination

8.1. 745 Transport may suspend or terminate a User's account, with or without prior notice where circumstances reasonably require immediate action, on grounds including: (a) a safety violation — reckless or dangerous driving, abuse, harassment, or endangering conduct; (b) fraud or attempted fraud — payment fraud, fake trip requests, GPS spoofing, or manipulation of pricing, promotions, or the wallet; (c) sharing an OTP, credentials, or trackCode inconsistent with these Terms; (d) a device flagged as compromised, cloned, or tied to prior fraudulent activity; (e) repeated cancellations, low completion rates, or a pattern of complaints raising safety or quality concerns; or (f) any breach of these Terms, the Driver-Partner Agreement, or applicable law.

8.2. Where an account is suspended or terminated, any active JWT session is immediately and irrevocably revoked (sessions are Redis-backed and instantly revocable), and any flagged device may be remotely wiped of platform-related data and credentials.

8.3. A User may close their own account at any time via the in-app process or by contacting support, subject to settlement of any outstanding wallet balance, fees, or disputes. Termination does not relieve a User of any payment obligation or liability arising before termination.

9. Safety Features and Their Limits

9.1. 745 Transport provides baseline safety features to all Users as part of the core Platform, including live trip tracking, driver identity verification at onboarding, OTP-gated pickup, and a staff-monitored operations function — regardless of whether a User has opted into 745 Shield.

9.2. Nothing in these Terms, and no Platform feature (including 745 Shield), replaces a driver-partner's own duty of care to passengers, a passenger's own responsibility for their safety and conduct, or either party's obligation to comply with applicable law. Users should always exercise their own judgment and contact South African emergency services (SAPS, ambulance, or fire) directly in a genuine life-threatening emergency, in addition to or instead of any in-app safety feature.

10. 745 Shield — Separate, Optional, Paid Service

10.1. 745 Shield is a distinct, optional, paid safety add-on, separate from the core ride service in Section 3. It is not automatically included with any trip and must be actively opted into by the passenger or driver for that specific trip.

10.2. Pricing. Where opted into, 745 Shield is charged at trip confirmation: R50 for a passenger (a panic_fee transaction) and R99 for a driver-partner (deducted from wallet, subject to a balance check). Fees are non-refundable once the trip has commenced, except where required by law or at 745 Transport's discretion for a platform error.

10.3. What it does. Where an opted-in User triggers a panic alert during a trip, the Platform publishes a PANIC_TRIGGERED event, alerts the other party and 745 Transport's staff dashboard, and, via the dedicated 745-security service, pushes a real-time alert to any subscribed response partners. The incident follows a defined lifecycle — trigger, acknowledgment, scheduled stop-and-search inspection where warranted, and resolution. Response-time commitments form part of the 745 Shield terms and are disclosed when you buy a credit.

10.4. What it does not do. 745 Shield is a rapid-alert and incident-coordination feature. It is not a substitute for South African emergency services, is not a guarantee of physical intervention within any particular time or at all, and does not replace the in-vehicle panic-button hardware mandated under the National Land Transport Amendment Act regulations — a separate requirement not satisfied by 745 Shield. It also does not replace the baseline safety features in Section 9.1, which apply regardless of opt-in.

10.5. Where a third-party security firm is integrated via a metered API key, its response obligations are governed by 745 Transport's separate commercial and data-processing agreement with that firm, and 745 Transport does not guarantee an independent third-party responder's performance beyond its own contractual oversight.

11. Intellectual Property

11.1. The Platform, including its software, design, trademarks (including the "745" name and marks), and content, is owned by or licensed to 745 Transport and protected by South African and international intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose only; they do not transfer any ownership rights.

12. Limitation of Liability

12.1. To the maximum extent permitted by South African law, including the Consumer Protection Act 68 of 2008 (which limits the extent to which liability to a consumer may be excluded), 745 Transport's liability to you is limited as set out below.

12.2. 745 Transport is a technology platform connecting passengers and independent driver-partners. Save where 745 Transport's own negligence or wilful misconduct in operating the Platform itself directly causes loss, it is not liable for the acts or omissions of driver-partners (independent contractors, not employees or agents) or of passengers, including driving standard, vehicle condition, or personal conduct during a trip.

12.3. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded under South African law, including liability for death or personal injury caused by 745 Transport's own gross negligence, liability under a non-excludable Consumer Protection Act right, or liability for fraud.

12.4. Subject to Section 12.3, 745 Transport's aggregate liability to you for any claim in any 12-month period is limited to the fees you paid 745 Transport in that period, save that this does not apply to unresolved payment disputes for amounts charged to you in error.

12.5. 745 Transport does not warrant that the Platform will be uninterrupted, error-free, or available at all times; we publish target (not guaranteed) service levels.

13. Indemnity

13.1. You agree to indemnify and hold 745 Transport, its directors, employees, and agents harmless against any claim, loss, damage, or expense (including reasonable legal costs) arising from your breach of these Terms, your unlawful conduct on the Platform, or your infringement of any third party's rights, save to the extent caused by 745 Transport's own negligence or breach of these Terms.

14. Dispute Resolution

14.1. If a dispute arises, you agree to first attempt to resolve it informally by contacting 745 Transport support at support@745.co.za or 078 419 3648.

14.2. If not resolved informally within a reasonable period, either party may refer the dispute to mediation before an accredited South African mediator, and, failing resolution, either party may pursue the matter before a court of competent jurisdiction in South Africa. Nothing in this Section limits a consumer's right to refer a complaint to the National Consumer Commission or another applicable ombud or regulator, or to pursue any alternative dispute resolution mechanism available under the Consumer Protection Act 68 of 2008.

15. Governing Law

15.1. These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles. The parties submit to the non-exclusive jurisdiction of the South African courts, without prejudice to any statutory right a consumer may have to bring proceedings in another competent forum.

16. Amendments to These Terms

16.1. 745 Transport may amend these Terms from time to time to reflect changes in the Platform, applicable law, or its business operations. Where an amendment materially affects your rights or obligations, reasonable notice will be given through the app or another appropriate channel before it takes effect.

16.2. Continued use of the Platform after an amendment takes effect constitutes acceptance of it. If you do not agree, your remedy is to stop using the Platform and close your account.

17. General

17.1. If any provision of these Terms is invalid or unenforceable under South African law, it will be severed and the remaining provisions continue in full force.

17.2. These Terms, together with the Privacy Policy, the Driver-Partner Agreement (where applicable), and the 745 Shield terms (where opted into), constitute the entire agreement between you and 745 Transport regarding your use of the Platform, superseding any prior agreement on the same subject.

17.3. 745 Transport's failure to enforce any provision is not a waiver of its right to do so later.
